Eligibility to Purchase
You must have the legal capacity required under applicable law to enter into a binding purchase agreement.
If you purchase on behalf of a company, organization, agency, or other business, you represent that you have the authority to bind that entity to the applicable purchase terms.
If you are under the age required to enter into contracts in your jurisdiction, you may place an order through the ThemePilot Store only with the involvement and authorization of a parent or legal guardian, where required by law.
Additional Product Terms
The purchase and/or use of Shopify themes purchased through the ThemePilot Store are subject to Shopify’s additional terms and conditions, found at Terms of Service. In the event of any conflict or inconsistency between these terms and Shopify’s applicable terms and conditions, the terms applicable to the specific issue or transaction will govern to the extent required by applicable law.
Making unauthorized modifications to a Shopify Theme may violate the applicable ThemePilot Shopify Theme License Agreement and constitutes theme circumvention. If you are unable to use your Shopify Theme due to an unauthorized modification, the repair or refund of the Theme will not be covered under the warranty.
Pricing and Price Reductions/Corrections
ThemePilot reserves the right to change prices for products at the ThemePilot Store at any time, and to correct inadvertent pricing errors. Additional information about pricing and sales tax is available on the Payment & Pricing page.
Should ThemePilot reduce the price of any ThemePilot-branded product within 14 calendar days of the date you receive access to your product, contact Customer Support at support@themepilot.shop within 14 days of the price change to request a refund or credit for the difference in price. This excludes limited-time price reductions and special sales events, such as Black Friday. Price protection is limited to 10 units of a particular product, and we may require you to have access to the product and/or provide proof of purchase or entitlement to use it.
Prices shown are in U.S. dollars. If you pay for your order with an international card, the price may fluctuate with exchange rates and/or your card issuer may charge foreign conversion charges and fees.
Order Acceptance/Confirmation
ThemePilot may refuse or cancel any order or limit order quantity. ThemePilot may also require additional qualifying information prior to processing any order. Once we receive your online or phone order, we’ll provide you with an email order confirmation. Your receipt of an order confirmation does not signify acceptance of your order or constitute confirmation of our offer to sell; we are simply confirming that we received your order. The ThemePilot Store reserves the right to accept or decline your order at any time for any reason. If ThemePilot cancels an order after payment, ThemePilot will refund it.
Delivery & Access
Please review the Delivery & Access page to learn about how and when you will receive the products or services you purchase from the ThemePilot Store. Since delivery of your order can be impacted by events beyond ThemePilot’s control once the product or service has been sent, transmitted, or made available to you, or once a delivery request has been initiated from our servers, ThemePilot cannot be held liable for late deliveries. We will, however, work with you to ensure a smooth delivery.
As ThemePilot takes care of the delivery of the products and services you purchase from the ThemePilot Store, responsibility for accessing and maintaining access to the products or services, as well as the risk of loss, corruption, or alteration of the products, shall pass to you when you, or a person designated by you, gain access to the products, or when the services are delivered or made available to you through the applicable delivery method, within the delivery period stated in these Terms of Sale or otherwise applicable to the relevant product or service.
If applicable under these conditions, title to the product or service transmitted to you shall pass to you when the applicable request for sending, delivery, access, or another method required under these Terms of Sale has been processed, and the products and/or services have been transmitted from our servers or otherwise made available to you. At this point, you will receive the applicable delivery notification or access information. If there are any issues with delivery, please contact ThemePilot to resolve.
Refunds
Refunds are governed by ThemePilot's U.S. Refund Policy. The Refund Policy is incorporated into these Terms.
Third-Party Platform Access
ThemePilot may make certain products and services available through third-party platforms rather than delivering them directly through the ThemePilot Store. Depending on the product or service, ThemePilot may determine the applicable delivery method or may allow you to select from available delivery or access methods at the time of purchase.
If a product or service is provided through a third-party platform, ThemePilot may send you an access link, invitation, activation code, download link, account information, or other instructions required to access the product or service. The product or service may be hosted, stored, delivered, or otherwise made available through the applicable third-party platform.
Certain products, services, payment methods, or orders, however, may not qualify for delivery through a particular third-party platform.
Only you or a person designated by you may access the item(s) purchased. ThemePilot will notify you, where applicable, when your order is available for access and, if applicable, the date by which you must access it through the applicable third-party platform.
We’ll also send you a reminder or two in case it slips your mind. If you do not access or activate the items in your order within the applicable period, ThemePilot may cancel the order. Please visit Delivery & Access for more details.

You are responsible for ensuring that any information you provide about a third party is accurate and that the third party is permitted to access and use the applicable product or service.

Payment Disputes If a customer encounters a problem with an order, ThemePilot asks that the customer contact ThemePilot Customer Support before initiating a PayPal dispute, bank dispute, card chargeback, or similar payment dispute whenever reasonably possible. This gives ThemePilot an opportunity to investigate and attempt to resolve the issue. Contacting ThemePilot first does not prevent a customer from exercising any legally protected right or contacting their financial institution or payment provider. Where permitted by applicable law and payment-provider rules, ThemePilot may take reasonable measures to protect against fraudulent, abusive, or repeated payment-related activity. These measures may include additional order verification, temporary account restrictions, cancellation of suspicious orders, refusal of future orders, or suspension of access to ThemePilot services. ThemePilot will not treat the good-faith exercise of a legally protected consumer right as fraud or abuse solely because a customer has exercised that right. |
Tax |
Tax rate In accordance with state and local law, your online purchases from ThemePilot will be taxed using the applicable sales tax or seller's use tax rate for your billing address. The tax listed during checkout is only an estimate. Your invoice will reflect the final total tax, which includes state and local taxes, as well as any applicable rebates or fees. Tax-exempt orders To place an order on behalf of a tax-exempt organization or individual, please contact a ThemePilot Store Specialist at support@themepilot.shop. You will need to provide proof of state tax-exempt status for the state applicable to the purchase. The organization or individual name on the order must exactly match the state tax-exempt certificate. Federal tax exemption certificates are not applicable. Delivery by Email
|
ThemePilot Third-Party Platform |
After you have placed an order for a product or service delivered through a third-party platform, we’ll send an email and, if applicable, a mobile notification with the access information, instructions, activation code, access link, download link, or other information required to access your order when your order is scheduled to be accessed. Please wait for this notification before attempting to access it. If you selected a time window or were provided with a specific access or delivery timeframe, please follow the instructions and access it during the specified time. For convenience, you may be able to save or store your access information in your account, password manager, or another supported service, where applicable. To access your items through a third-party platform, you or your designated contact may need to provide the order number, account information, activation code, access link, or other information found in the notification. Please note that screenshots, photos, copied access information, or other substitutes may not be accepted where the applicable third-party platform requires the original access credentials, invitation, activation code, or access method. You can visit Order Status to track the status of your order and, where applicable, view available delivery or access information. |
What's Next? |
Once your order is placed, we’ll send information about your order by email. The email you receive depends on the item you purchased and the applicable delivery or access method. If you have multiple items in your order, you may receive additional emails for each item. Order Acknowledgement The order acknowledgement email provides a summary of the items in your order. For items in your order that are provided through a third-party platform, the email will display the applicable platform or access method. If you have designated someone else to access the item for you, the email will also display the designated contact, where applicable. An order acknowledgement confirms that ThemePilot received your order. It does not necessarily mean that your order has been finally accepted or that fulfillment has begun. ThemePilot may perform payment, security, fraud-prevention, licensing, customer information, or other reasonable verification before completing an order. Order Processing ThemePilot uses different fulfillment methods depending on the product or service purchased. Processing times may vary depending on the type of product or service purchased. Where a specific processing time applies, it will be stated in these Terms and Conditions, the applicable product or service terms, or another applicable agreement. Some products may be fulfilled automatically after payment and order verification. Other products may require manual processing before delivery can begin. Processing Time refers to the time ThemePilot may require to process, verify, prepare, or otherwise fulfill an order before the purchased product or service is ready for delivery. The processing time applicable to a product or service is separate from any applicable delivery timeframe. Shopify Theme Processing Time Unless a different processing time is expressly stated, Shopify Theme orders generally require up to 24 hours to process. This is a standard maximum processing period and does not mean that every Shopify Theme order will take 24 hours. Orders may be processed substantially faster, particularly when automated fulfillment is available. Processing may include payment verification, security and fraud checks, license verification, product preparation, file selection, technical review, or other fulfillment activities. Automated Fulfillment Certain products may be fulfilled automatically after payment and order verification. When an automated fulfillment system is available and functioning normally, delivery may occur within the timeframe displayed on the applicable product page. Automated fulfillment does not eliminate ThemePilot's right to perform reasonable payment, security, fraud, licensing, or order verification before releasing a product. Manual Processing Some products require manual processing before delivery. Manual processing may include order review, payment verification, product preparation, file selection, licensing checks, customization, or other fulfillment activities. Where manual processing is required, delivery will begin only after the applicable processing stage has been completed. As a result, the total time between placing an order and receiving a digital product or service may be longer than the stated delivery timeframe. Delivery Timeframes Delivery Time refers to the estimated time required to make a digital product available after the applicable order processing has been completed. The applicable product page, service terms, checkout, or other applicable information may display a delivery estimate such as:
A displayed delivery estimate begins once the applicable order processing stage has been completed. Accordingly, the total time between placing an order and receiving a digital product or service may consist of: Order Processing Time + Product Delivery Time For example, if a digital product is described as being delivered “within seconds,” this means that the delivery system is generally expected to make the product available within that timeframe after the order has been processed and the product is ready for delivery. It does not necessarily mean that the customer will receive the product within a few seconds of submitting payment. A delivery timeframe identified as an estimate should not be interpreted as a guarantee unless the applicable terms expressly identify it as a guaranteed or committed timeframe. Orders Requiring Customer Information Some products and services require information, files, instructions, access, credentials, specifications, approvals, or other materials from the customer. Where such information is reasonably necessary to fulfill an order, the applicable processing or delivery period may begin only after ThemePilot has received all information necessary to proceed. Customers are responsible for providing accurate and complete information. Delays caused by missing, inaccurate, incomplete, inaccessible, or late information provided by the customer may extend the applicable fulfillment timeframe. Delivery Delays ThemePilot makes reasonable efforts to meet the processing and delivery timeframes applicable to each product or service. If ThemePilot becomes unable to fulfill an order within an applicable promised timeframe, ThemePilot will make reasonable efforts to notify the customer and, where appropriate, provide an updated timeframe or other applicable options. Where applicable law requires a customer to be offered the right to cancel an order and receive a refund because of an unfulfilled or materially delayed order, ThemePilot will honor those rights. Nothing in these Terms is intended to convert an estimated delivery timeframe into a guaranteed timeframe where the applicable terms expressly identify the timeframe as an estimate. Nothing in these Terms permits ThemePilot to disregard a specific delivery commitment or other customer right that cannot lawfully be excluded or limited. Delivery Notification Once your order has been processed and your item is ready for delivery, we’ll send you a delivery notification email. This email may include the delivery status, delivery method, download link, access instructions, estimated or delivery date, and other information needed to access or use your item, including access through a third-party platform, where applicable. You can also visit Order Status to view the status of your order and access available delivery information. If you purchase an electronic ThemePilot Gift Card, we'll send you an email notification once we send the gift card to the recipient. Access Notification Once your items are available through the applicable third-party platform, we'll send an access notification email. Access Reminder We'll send a reminder email if your item is still waiting to be accessed or activated. |
Text Notifications |
We send updates by text message, so you can stay updated on your delivery or access your order through a third-party platform. Just add your mobile number at checkout to receive these notifications. The number of messages you'll receive will vary depending on the orders you place. What to Expect Once your order has been processed or becomes available through a third-party platform, we'll send you a text message. This may include your order number, delivery or access status, or access information. We will also send you texts on the day of delivery or after your item has been delivered, depending on the selected delivery method. You may receive 1–4 text messages per item on your order. Changing Text Message Preferences You can edit your mobile phone number at any time by signing in to your account and editing the delivery notification preferences for your order. Your privacy is important to ThemePilot. So we've developed a Privacy Policy that covers how we collect, use, disclose, transfer, and store your information. Visit themepilot.shop/policies/privacy. You can also review our Terms of Use at themepilot.shop/policies/terms-of-service. |
Digital Delivery |
Accessing Your Digital Product Once your digital product has been delivered or made available, you can access it through the delivery method specified for your order, which may include a download link, your ThemePilot account, email, or another electronic delivery method. If you are unable to access or download your product, you may contact ThemePilot for assistance. Where appropriate, ThemePilot may provide a replacement download link or another reasonable method of accessing the purchased product. Access to certain products may be subject to applicable licensing, security, account, or third-party platform requirements. Download Links and Availability ThemePilot generally attempts to keep digital download links available for a reasonable period following delivery. This is a general operational target and does not constitute a guarantee of permanent or indefinite access. Download links are intended to provide reasonable access to purchased digital products and are not intended to serve as permanent storage. Download links may expire, be disabled, replaced, or become unavailable earlier due to technical issues, hosting changes, security measures, licensing requirements, fraud-prevention measures, product updates, unauthorized sharing, system changes, or other legitimate circumstances. ThemePilot may replace or update a download link when reasonably necessary, including following technical changes, hosting changes, product updates, security measures, or other legitimate circumstances. If you have not downloaded a product and its download link becomes unavailable, you may contact ThemePilot to request a replacement link. ThemePilot will make reasonable efforts to restore access where appropriate. Once you have successfully downloaded a product, you are responsible for keeping a backup of the files for your records. Previously purchased files may not remain available indefinitely. Digital Delivery Records ThemePilot and its delivery providers may maintain technical records associated with digital fulfillment. Depending on the delivery system, these records may include the delivery date and time, link-generation information, link-access information, the number of downloads, the IP address associated with access, the referring link or web address, order information, product information, and other technical information reasonably generated by the delivery system. These records may be used for order fulfillment, customer support, security, fraud prevention, refund review, payment-dispute resolution, account protection, and legitimate business or legal purposes. The handling of such information is subject to ThemePilot's Privacy Policy and applicable law. |

Additional payment will be required if the purchase price of your new ThemePilot product exceeds the value of the gift card. Seems obvious, but we wanted to be sure you knew. Gift cards are also not for resale.
Gift Card Activation and Technical Status
ThemePilot may temporarily deactivate or remove a Gift Card from active status in its systems for technical, administrative, security, maintenance, fraud-prevention, or other legitimate operational reasons.
A Gift Card being temporarily inactive in ThemePilot's systems does not necessarily mean that the Gift Card has been cancelled, invalidated, expired, or otherwise rendered permanently unusable. In some cases, the Gift Card may remain valid and may simply need to be restored to active status before it can be redeemed.
If you have a valid ThemePilot Gift Card that does not work when you attempt to use it, please contact ThemePilot at support@themepilot.shop.
ThemePilot may request certain information to identify the Gift Card in its systems. Depending on how the Gift Card was issued, this information may be available on the Gift Card itself or in the email sent to the recipient or purchaser, if the purchaser and recipient are the same person.
The information requested for this purpose is used to identify and locate the Gift Card in ThemePilot's systems. It is not, by itself, a substitute for the Gift Card's redemption code or other information required to make a purchase.
ThemePilot may verify the Gift Card's status and transaction history to determine whether it has previously been redeemed or otherwise used. If ThemePilot confirms that the Gift Card remains valid and has not already been redeemed, ThemePilot may restore the Gift Card to active status so that it can be used in accordance with these Terms.
A request to restore a Gift Card to active status does not establish ownership of the Gift Card, transfer the Gift Card to the person making the request, or provide that person with a right to redeem the Gift Card. Reactivation only restores the Gift Card's active status in ThemePilot's systems. The person seeking to use the Gift Card must still possess the Gift Card and the information required to redeem it.
Because the information used to identify a Gift Card in ThemePilot's systems does not by itself authorize redemption, ThemePilot may not require an original purchase receipt or other proof of purchase solely to restore a valid Gift Card to active status. ThemePilot may, however, request additional information where reasonably necessary to verify the Gift Card or investigate a suspected issue, unauthorized use, fraud, or other security concern.
A Gift Card that has been restored to active status may subsequently become inactive again due to technical, administrative, security, maintenance, or other legitimate operational reasons. If this occurs, you may contact ThemePilot again to request that the Gift Card be restored to active status, subject to verification that the Gift Card remains valid and has not already been redeemed.
Additional Gift Card Terms
Void where prohibited or restricted by law. Gift card terms and conditions are subject to change without notice and some items may not be available for purchase. Please visit www.themepilot.shop/policies/terms-of-sale for current terms, conditions, and limitations. Use of a gift card is governed by the laws of the Commonwealth of Virginia. To check the available balance on a gift card, contact support@themepilot.shop.
U.S. Shopify Themes
ThemePilot offers themes for Shopify as described below under the following terms and conditions (“Terms & Conditions”). When you purchase a theme for Shopify, you are agreeing to these Terms & Conditions, together with the applicable product description, license terms, and ThemePilot Sales Policy.
ThemePilot and Shopify
ThemePilot is an independent seller and is not Shopify. A Shopify Theme purchased from ThemePilot is not a purchase made through the official Shopify Theme Store and does not create a direct purchase or licensing relationship between you and Shopify.
Your use of Shopify and any Shopify Theme remains subject to Shopify’s applicable terms, policies, requirements, and technical environment.
What You Purchase
Unless expressly stated otherwise, a Shopify Theme purchased from ThemePilot is a specific digital version of the applicable theme made available at the time of purchase.
Purchasing a Shopify Theme does not transfer ownership of the underlying software, design, source code, intellectual property, or other proprietary rights. Your rights are limited to the rights expressly granted under the applicable product license.
License and Permitted Use
Your purchase grants you only the license or usage rights expressly provided by the applicable product description and license terms.
Unless expressly authorized by the applicable license, you may not:
- resell the Theme as a standalone digital product;
- redistribute or share the original Theme files with unauthorized third parties;
- sublicense, rent, lease, or otherwise transfer the Theme;
- make the Theme available through a competing marketplace, download service, or digital library;
- claim ownership of the underlying Theme or its original components;
- reproduce or distribute the Theme outside the scope of the applicable license;
- remove or circumvent licensing, security, or access controls;
- use the Theme for a purpose prohibited by the applicable license or Shopify’s requirements; or
- otherwise use the Theme beyond the rights granted to you.
Additional restrictions may apply to individual products. Where a product-specific license contains additional or different terms, those terms govern your use of that product to the extent of any conflict.
Use with Shopify
Shopify Themes are intended to be used within the Shopify platform and may depend on Shopify features, APIs, account permissions, subscription plans, technical requirements, or other third-party services.
You are responsible for maintaining any Shopify account, subscription, authorization, or other service required to use the Theme.
You are also responsible for ensuring that your use of the Theme complies with Shopify’s applicable terms, policies, licensing requirements, content requirements, and other platform rules.
ThemePilot does not grant you any rights in Shopify’s platform, software, trademarks, services, or other intellectual property.
Development, Testing, and Production Use
Unless expressly stated otherwise on the applicable product page or license, a Shopify Theme may be provided for development, testing, customization, demonstration, or other use permitted by the applicable license.
You should not assume that purchasing a Theme automatically grants unrestricted rights for production use, use across multiple stores, client projects, resale, redistribution, or other commercial deployment.
You are responsible for determining whether your intended use is permitted by the applicable license and by Shopify’s requirements.
Theme Versions
Unless expressly stated otherwise, the Theme you purchase is the version made available at the time of purchase.
A purchase does not automatically include future versions, upgrades, redesigns, feature additions, compatibility changes, bug fixes, security updates, or other modifications released after the purchase.
The availability of a newer version of a Theme does not by itself create an obligation for ThemePilot to provide that version to you.
Updates and Ongoing Maintenance
Unless expressly stated otherwise on the applicable product page or in a separate written agreement, ThemePilot does not promise ongoing updates or maintenance for a Shopify Theme.
ThemePilot may, at its discretion, provide updated files, corrections, replacements, compatibility improvements, or other support. Any such action is discretionary unless expressly included with the applicable product.
The provision of an update, correction, replacement, or support service on one occasion does not create an obligation to provide similar services in the future.
Theme Support
Unless expressly stated otherwise on the applicable product page, the purchase of a Shopify Theme does not include ongoing technical support, customization services, development work, installation services, migration services, or troubleshooting for third-party applications or configurations.
Where support is expressly included, the scope of that support will be determined by the applicable product description or written agreement.
ThemePilot is not responsible for support services provided by Shopify or other third-party providers.
Product Compatibility
You are responsible for determining whether a Theme is suitable for your intended technical environment before purchasing.
Product descriptions may identify supported Shopify configurations, versions, features, requirements, limitations, integrations, or other compatibility information.
Compatibility may vary depending on your Shopify version, account type, subscription plan, applications, plugins, extensions, browser, operating system, APIs, third-party services, custom code, and other technical configurations. ThemePilot may decline requests for support or refunds resulting from compatibility issues related to these configurations.
Changes made by Shopify or another third-party provider may affect the operation, features, compatibility, or availability of a Theme.
Third-Party Platforms and Services
Certain Themes may rely on Shopify, third-party applications, APIs, hosting services, payment services, plugins, extensions, or other third-party technologies.
ThemePilot does not control third-party services and cannot guarantee their continued availability, functionality, pricing, policies, technical requirements, compatibility, or support.
A third-party provider may modify, restrict, suspend, or discontinue a feature or service on which a Theme depends.
Such changes may affect the Theme without creating an obligation for ThemePilot to provide a replacement, update, migration, or refund, except where required by applicable law or expressly provided under the applicable refund terms.
Shopify Licensing and Platform Requirements
You acknowledge that the licensing and use of a Theme within Shopify may be subject to Shopify’s own requirements and to the rights of the Theme’s applicable developer, designer, publisher, or other rights holder.
ThemePilot does not grant rights that it does not itself possess.
Where a Theme is subject to separate licensing terms, those terms form part of the agreement governing your purchase and use of the Theme.
You are responsible for ensuring that your intended use, including development, testing, production, client use, or use across multiple stores, is permitted under the applicable license and the requirements of the applicable platform.
Multiple Stores
Unless expressly permitted by the applicable product license, purchasing one Theme does not grant you the right to use, distribute, or deploy the same Theme across multiple independent Shopify stores.
Additional licenses or purchases may be required for additional stores, clients, organizations, or other separate uses.
You are responsible for determining whether your intended use requires additional licensing under the applicable product terms.
Customization
Unless expressly stated otherwise, purchasing a Shopify Theme does not include customization, development, installation, migration, configuration, or other professional services.
You may customize the Theme to the extent permitted by the applicable license and Shopify’s requirements.
Customizations performed by you or by a third party may affect compatibility, functionality, support availability, or future updates.
ThemePilot is not responsible for issues caused by unauthorized modifications, third-party code, applications, extensions, integrations, or other changes made after delivery.
Intellectual Property
The purchase of a Shopify Theme does not transfer ownership of the underlying intellectual property.
Copyrights, trademarks, source code, designs, graphics, documentation, and other intellectual-property rights associated with a Theme remain with ThemePilot, the original developer, designer, publisher, platform provider, or other applicable rights holder, as applicable.
Nothing in these Terms & Conditions transfers any intellectual-property right unless expressly stated.
You may not represent the Theme or its underlying work as your own or use it in a manner that infringes the rights of ThemePilot or any third party.
Unauthorized Resale and Redistribution
Shopify Themes purchased from ThemePilot may not be acquired for unauthorized resale, redistribution, sublicensing, inclusion in another digital marketplace, or use as part of a competing digital library or download service.
ThemePilot may refuse, cancel, restrict, or suspend an order or access where it has a legitimate basis to believe that the order or use involves unauthorized redistribution, licensing abuse, fraud, infringement, or another violation of these Terms & Conditions, subject to applicable law.
Prohibited Use
You may not use a Shopify Theme to:
- violate applicable law or regulation;
- infringe or misappropriate intellectual-property rights;
- circumvent licensing or access restrictions;
- redistribute or sublicense the Theme without authorization;
- facilitate fraud or other unlawful activity;
- gain unauthorized access to systems or accounts;
- distribute malicious code or software;
- interfere with the security or operation of Shopify, ThemePilot, or another service;
- use the Theme in a manner prohibited by Shopify’s applicable requirements; or
- otherwise use the Theme outside the scope of the applicable license.
Availability and Changes
ThemePilot may modify, replace, suspend, or discontinue a Theme, its delivery method, its associated files, or related services at any time, subject to applicable law and any express obligations applicable to your purchase.
No purchase creates an obligation for ThemePilot to maintain a particular Theme, version, feature, integration, platform compatibility, update program, or support service indefinitely unless expressly agreed.
No Guarantee of Continued Shopify Compatibility
Shopify and other third-party providers may change their software, APIs, infrastructure, policies, pricing, account requirements, security measures, or technical specifications.
Compatibility may change as Shopify introduces new releases, features, applications, integrations, or services. ThemePilot decline responsibility for compatibility issues caused by changes to Shopify or other third-party services after your purchase.
You acknowledge that continued operation of a Theme may depend on factors outside ThemePilot’s reasonable control.
No Guarantee of Business Results
A Shopify Theme is a design and software-related product and is not a guarantee of business performance.
The purchase or use of a Theme does not ensure any particular level of sales, revenue, traffic, conversion rate, search ranking, customer acquisition, profit, or other business results.
Any examples, demonstrations, previews, case studies, or representations concerning potential results are illustrative only.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, Shopify Themes are provided on an “AS IS” and “AS AVAILABLE” basis.
A Theme may experience interruptions, become unavailable, or lose compatibility with certain technical environments, Shopify features, or third-party features over time. ThemePilot may decline requests for refunds or other remedies based solely on these changes.
Nothing in these Terms & Conditions excludes or limits any warranty, consumer protection, or other right that cannot lawfully be excluded or limited.
Refunds
Refunds for Shopify Themes are governed by ThemePilot’s applicable U.S. Refund Policy.
Any refund eligibility, limitation, exclusion, or procedure stated in that policy forms part of the terms governing your purchase.
Nothing in these Terms & Conditions limits any refund right or other consumer protection that cannot legally be waived or restricted.
Limitation of Liability, Disclaimer of Liabilities
THEMEPILOT, ITS LICENSEES, AFFILIATES, AND LICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO SHOPIFY THEMES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT THAT A SHOPIFY THEME IS NONFUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH SHOPIFY THEME. SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY BE LIMITED BY APPLICABLE LAW. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, AND YOU MAY ALSO HAVE ADDITIONAL RIGHTS.
Waiver and Indemnity
BY USING A SHOPIFY THEME, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD HARMLESS THEMEPILOT, AND ISSUER’S AND THEMEPILOT’S DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS, WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THESE TERMS, YOUR USE OF SHOPIFY THEMES, OR ANY ACTION TAKEN BY THEMEPILOT AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THESE TERMS OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THESE TERMS OCCURRED. YOU AGREE THAT YOU SHALL NOT SUE OR RECOVER ANY DAMAGES FROM THEMEPILOT, AND ISSUER OR THEMEPILOT’S DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS AS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR CONTENT, WARN OR NOT WARN YOU, SUSPEND OR TERMINATE YOUR ACCESS TO SHOPIFY THEMES OR YOUR ACCOUNT OR CONTENT, OR TAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A RESULT OF ISSUER’S OR THEMEPILOT’S CONCLUSION THAT A VIOLATION OF THESE TERMS HAS OCCURRED. THIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR CONTEMPLATED BY THESE TERMS.
Acceptance of These Terms
By purchasing a Shopify Theme from ThemePilot, you acknowledge that you have reviewed the applicable product description, license terms, and these Terms & Conditions and agree to use the Theme only as permitted by those terms and by applicable Shopify requirements.
U.S. Services
ThemePilot may offer digital services, including development, customization, design, setup, configuration, implementation, technical assistance, consultation, and other related services, under the following terms and conditions (“Terms & Conditions”). By purchasing a service from ThemePilot, you acknowledge and agree to these Terms & Conditions, together with the applicable service description, order details, product-specific terms, and any written agreement applicable to the service.
Services Offered
ThemePilot may provide services including:
- development;
- customization;
- design;
- setup;
- configuration;
- implementation;
- technical assistance;
- consultation; and
- other digital or technical services described on the applicable service or product page.
The specific service available to you is determined by the applicable service description and the terms presented before or at checkout.
Scope of Services
The scope of a service is determined by:
- the applicable service description;
- the order details;
- any applicable product-specific terms; and
- any specific written agreement between ThemePilot and the customer.
Unless expressly included in the applicable service description or written agreement, a service does not include additional work, features, revisions, integrations, third-party services, ongoing maintenance, or other work beyond the agreed scope.
Any request that falls outside the agreed scope may require an additional purchase or separate agreement.
Customer Information and Materials
Certain services may require information, files, instructions, access, credentials, specifications, approvals, or other materials from you.
You are responsible for providing the information and materials reasonably necessary for ThemePilot to perform the service.
Where the service depends on customer-provided information or materials, ThemePilot may be unable to begin or complete the applicable work until the required information or materials have been received.
Customer Content
If you provide files, images, text, trademarks, logos, credentials, code, designs, content, or other materials to ThemePilot for the purpose of providing a service, you represent that you have the necessary rights, permissions, and authority to provide and authorize the use of those materials.
You remain responsible for the legality, accuracy, ownership, and authorized use of materials you provide.
You authorize ThemePilot to access, reproduce, modify, transmit, store, or otherwise use customer-provided materials only to the extent reasonably necessary to perform the requested service.
Customer Responsibilities
You are responsible for providing accurate, complete, and timely information, instructions, approvals, access, credentials, and materials required to perform the service.
You are also responsible for maintaining any third-party account, subscription, license, authorization, hosting environment, or other service required for the performance or use of the service.
ThemePilot is not responsible for delays, errors, or limitations resulting from inaccurate, incomplete, unavailable, or unauthorized customer-provided information, materials, access, or instructions.
Service Delays
Service delivery may depend on factors including:
- customer instructions;
- customer approvals;
- access credentials;
- customer-provided files or materials;
- third-party platforms;
- third-party applications;
- technical requirements;
- availability of required services; and
- circumstances outside ThemePilot’s reasonable control.
Where ThemePilot cannot reasonably proceed because required information, approval, access, materials, or other customer dependencies have not been provided, the applicable service timeframe may be extended accordingly.
Any estimated service timeframe is therefore subject to the timely cooperation of the customer and the availability of required third-party services.
Third-Party Services and Platforms
Certain services may involve Shopify or other third-party platforms, applications, APIs, hosting providers, plugins, extensions, software, or services.
ThemePilot does not control third-party services and cannot guarantee their continued availability, functionality, compatibility, pricing, policies, or technical requirements.
Changes, outages, restrictions, or interruptions affecting a third-party service may delay or affect the performance of a service provided by ThemePilot.
Service Delivery and Completion
Once the agreed scope of the service has been completed, ThemePilot’s service obligation will generally be considered fulfilled, subject to any express support, revision, maintenance, or other obligations included in the applicable service description or written agreement.
Delivery of a completed service does not create an obligation to provide ongoing maintenance, future updates, additional development, or continued technical support unless expressly stated otherwise.
Changes to the Scope
Requests for additional features, functionality, revisions, integrations, modifications, or other work outside the agreed scope may be treated as additional services.
ThemePilot may require a separate purchase, revised quotation, or written agreement before performing work outside the original scope.
Intellectual Property and Customer Materials
Customer-provided materials remain the property of the customer or the applicable rights holder.
The rights in work product, designs, code, files, or other materials created as part of a service are determined by the applicable product description, license, service terms, or written agreement.
Nothing in these Terms & Conditions transfers intellectual-property rights unless such transfer is expressly stated in the applicable agreement.
Prohibited Customer Materials
You may not provide materials or instructions that you do not have the right to provide or that would require ThemePilot to violate applicable law, infringe third-party rights, circumvent licensing restrictions, or otherwise perform unlawful activity.
ThemePilot may refuse or discontinue a requested service where there is a reasonable basis to believe that the requested work or customer-provided materials would create a legal, security, licensing, or intellectual-property issue.
Service Refunds
Refunds for services are governed by ThemePilot’s applicable U.S. Refund Policy and any service-specific terms presented before purchase.
Because certain services may involve work performed specifically for a customer, refund eligibility may depend on the nature and stage of the service, subject to applicable law and the terms of the applicable Refund Policy.
Nothing in these Terms & Conditions limits any consumer right or protection that cannot legally be waived or restricted.
No Guarantee of Results
A service does not ensure any particular business, technical, financial, or commercial result. ThemePilot may decline requests for refunds or other remedies based solely on results that do not meet your expectations.
This includes no guarantee of a particular level of sales, revenue, traffic, conversion rate, search ranking, performance, or business growth.
Disclaimer
To the maximum extent permitted by applicable law, services are provided on an “AS IS” and “AS AVAILABLE” basis.
A service may experience interruptions, compatibility issues, or limitations caused by third-party platforms, services, or technical environments required for its performance or use. ThemePilot may decline requests for refunds or other remedies based solely on issues caused by these third-party factors.
Nothing in these Terms & Conditions excludes or limits any warranty, consumer protection, or other right that cannot legally be excluded or limited.
